This page sets out the general terms and conditions (the "Terms of Use" or the "Terms") applicable to the use of the website https://sensormatic.md (the "Website").

The Website is operated and administered by:

a legal entity registered in accordance with the legislation of the Republic of Moldova,
with its registered office at mun. Chișinău, str. Uzinelor 171/3,
IDNO 1016600007797,
(hereinafter referred to as "TAKE IT" or the "Operator").

TAKE IT is the official distributor of MEFERI products in the territory of the Republic of Moldova. The sensormatic.md domain belongs to MEFERI, and the Website is used and administered by TAKE IT S.R.L. with MEFERI's consent.

By accessing and using the Website, you confirm that you have read, understood and accepted these conditions. If you do not agree with the Terms, please do not use the Website.

1. Purpose and functionality of the Website

1.1. The Website serves an exclusively informative purpose and presents AIDC products (mobile terminals, scanners, POS equipment, etc.) from the MEFERI portfolio, marketed in the territory of the Republic of Moldova through TAKE IT S.R.L.

1.2. No sale and purchase contracts are concluded through the Website and no online payments can be made. The Website is not an online shop.

1.3. Users may view product information and may submit requests for quotations or contact messages through the available forms. Any firm commercial offer, order or contract will be made subsequently, through separate channels (for example, e-mail correspondence, written contracts), under the conditions agreed between the parties.

1.4. The information presented on the Website (technical specifications, images, descriptions, availability) is indicative only and may be changed by the Operator or by the manufacturer without prior notice.

2. Acceptance of the Terms

2.1. Continued use of the Website constitutes unconditional acceptance of these Terms of Use.

2.2. If you use the Website on behalf of a company or other legal entity, you represent and warrant that you have the authority to accept the Terms on behalf of that entity.

2.3. The Operator reserves the right to amend the Terms at any time. The updated version will be published on the Website and marked with the "Last updated" date. Continued use of the Website after the date of the update constitutes acceptance of the amended Terms.

3. Conditions of use of the Website

3.1. You are obliged to use the Website:

solely for lawful purposes, in accordance with the legislation of the Republic of Moldova and with these conditions;
without affecting the security, operation or availability of the Website for other users;
without attempting to gain unauthorised access to the information systems of the Operator or of its partners.

3.2. The use of the Website, including its forms, for the following purposes is strictly prohibited (the list is illustrative and not exhaustive):

transmitting content that is unlawful, offensive, discriminatory, defamatory, obscene or that infringes the rights of third parties;
sending unsolicited commercial messages ("spam");
transmitting malicious code (viruses, malware, scripts capable of affecting IT systems);
unauthorised collection of data about other users or about the infrastructure of the Website;
any other actions that may be considered abusive, fraudulent or contrary to public morals.

3.3. The Operator reserves the right to block access to the Website for users who breach these conditions or who in any way affect the security and operation of the Website.

4. Website content and responsibility for information

4.1. The information and materials published on the Website (texts, images, technical specifications, graphic materials, etc.) are general and indicative in nature and are made available "as is".

4.2. Although the Operator exercises reasonable diligence to keep the information up to date and accurate, it cannot guarantee that it is complete, accurate or free from errors at all times. Product characteristics may be changed by the manufacturer, and images may be for illustrative purposes only.

4.3. The information presented on the Website does not in itself constitute a firm commercial offer, personalised technical advice or any express or implied warranty. Any purchasing decision will be taken on the basis of the information and conditions subsequently communicated individually by representatives of TAKE IT or in the contractual documents.

4.4. The Operator is not responsible for any decisions or actions you take on the basis of information available on the Website without further consulting its representatives or without verifying that the data are up to date.

5. Intellectual property rights

5.1. The content of the Website, including, but not limited to: the structure and design of the pages, texts, images, graphic elements, video files, logos and other similar elements, is protected by the legislation on copyright and related rights.

5.2. The trade mark, trade name, logos and other distinctive signs of MEFERI, as well as other trade marks displayed on the Website, are registered trade marks of their respective rights holders and are used by TAKE IT in its capacity as authorised distributor and/or under agreements concluded with them.

5.3. Unless expressly provided otherwise, the following is not permitted:

reproducing, modifying, distributing, transmitting, publishing or using for commercial purposes the content of the Website, in whole or in part, without the prior written consent of the Operator or, as the case may be, of the rights holders;
removing or altering notices relating to copyright, trade marks or other intellectual property rights.

5.4. Limited use of the content of the Website for strictly personal, non-commercial purposes (for example, viewing information or saving it for internal reference) is permitted, provided that this section is complied with.

6. Communications and commercial requests

6.1. By completing the forms on the Website ("Request a quote" or similar contact forms), you confirm that the information provided is genuine, correct and complete, to the best of your ability.

6.2. Communications sent through the Website constitute requests for information or for a quotation. The Operator's responses:

do not automatically constitute acceptance of an order;
may be subject to verification of product availability, commercial conditions and other relevant elements.

6.3. Contracts for the supply of MEFERI products, specific commercial conditions (prices, delivery times, warranties, etc.) and any other details binding on the parties are established separately, through individual communications and/or written contracts.

7. Limitation of liability

7.1. To the maximum extent permitted by law, the Operator shall not be held liable for:

any direct or indirect damage, loss of profit, business interruption, loss of data or other economic consequences arising out of or in connection with the use of, or inability to use, the Website;
errors or omissions in the content of the Website;
any incompatibility between the Website and the user's equipment, software or network connections.

7.2. The Operator does not guarantee that the Website will be available without interruption or free from errors, viruses or other harmful components, although it makes reasonable efforts to maintain an adequate level of security and operation.

7.3. In any event, the Operator's total liability towards a user for any claims relating to the use of the Website shall be limited, to the extent permitted by law, to proven actual and direct damage, excluding indirect, consequential or punitive damages.

8. Links to third-party websites

8.1. The Website may contain links or references to websites belonging to third parties (including the global MEFERI website or other external resources).

8.2. Such links are provided solely for the convenience of users. The Operator does not control and assumes no responsibility for the content, policies or practices of those websites.

8.3. Accessing any third-party website through the links on the Website is done at the user's own risk, and the user is encouraged to consult the terms of use and privacy policies of those websites.

9. Protection of personal data

9.1. The processing of personal data collected through the Website is governed by the Privacy Policy of the Website, available in the dedicated section.

the categories of data processed;
the purposes and legal bases of the processing;
the recipients of the data;
the retention period;
your rights as a data subject.

Use of the Website implies acknowledgement of the Privacy Policy.

10. Changes to the Website

10.1. The Operator reserves the right to modify, suspend or discontinue, temporarily or permanently, in whole or in part, the operation of the Website, including its structure, content, functionalities or the availability of certain products presented.

10.2. The Operator shall not be held liable for any consequences of such changes for users or third parties, to the extent permitted by the applicable legislation.

11. Governing law and jurisdiction

11.1. These Terms of Use are governed by and construed in accordance with the law of the Republic of Moldova.

11.2. Any dispute or claim arising out of or in connection with the use of the Website and/or these conditions shall, as far as possible, be settled amicably.

11.3. Where an amicable settlement is not possible, disputes shall be submitted for resolution to the competent courts of the municipality of Chișinău, the Republic of Moldova, to the exclusion of any other jurisdiction, to the extent permitted by law.

12. Language of the Terms of Use

The Romanian-language version of this page constitutes the official version and shall prevail in the event of any inconsistency with any translations available on the Website or communicated through other channels.
